Energy Sector Competition

Definitions

In these Terms & Conditions, the following terms shall have the meanings set out below:

  • “ADX” means the Abu Dhabi Securities Exchange.
  • “DFM” means the Dubai Financial Market.
  • “Exchanges” means ADX and DFM collectively, and “Exchange” means either of them as the context requires.
  • “Al Ramz” means Al Ramz Capital L.L.C., a brokerage licensed and regulated by the Securities and Commodities Authority in the United Arab Emirates.
  • “Beginning Market Value (BMV)” means the market value of all Eligible Instruments held in a participant’s account at the start of a trading day, calculated using the previous trading day’s official closing prices of the relevant Exchange, adjusted for any corporate action taking effect on that day.
  • “Adjusted Beginning Market Value” means the Beginning Market Value reduced by the value of any Share Transfers Out and increased by the value of any Share Transfers In occurring during that trading day.
  • “Ending Market Value (EMV)” means the market value of all Eligible Instruments held in a participant’s account at the end of a trading day, calculated using that day’s official closing prices of the relevant Exchange on a trade date basis, and excluding dividends paid externally.
  • “Investment Base” means the highest value of Eligible Instruments held in a participant’s account at any point during a trading day, being the running value of those holdings commencing at the Beginning Market Value, increased by each purchase and Share Transfer In and reduced by each sale and Share Transfer Out.
  • “Purchases” means the aggregate execution value of Eligible Instruments bought during a trading day, recognized on the trade date.
  • “Sales” means the aggregate execution value of Eligible Instruments sold during a trading day, recognized on the trade date.
  • “Competition” means the UAE Energy Competition organized by Al Ramz in accordance with these Terms & Conditions.
  • “Competition Period” means the defined start and end date of each competition cycle as set out in Clause 5 and published across official digital channels.
  • “Dividends” means cash dividends declared on Eligible Instruments and paid directly to a participant’s linked bank account or expected to be paid later, which are included in performance calculations on the ex-dividend date but excluded from Ending Market Value.
  • “Eligible Instruments” means the energy sector equity securities listed on the Exchanges and specified in Clause 6, traded through Al Ramz and eligible for inclusion in the Competition, excluding derivatives, margin products, leveraged instruments, off market transfers, and any security not specified in Clause 6.
  • “External Movement” means any movement of Eligible Instruments into or out of a participant’s account by way of purchase, sale, or share transfer, the effect of which is neutralized in the calculation of Time-Weighted Return.
  • “Realized Profit or Loss” means gains or losses realized from the sale of Eligible Instruments, recognized on the trade date.
  • “Unrealized Profit or Loss” means changes in market value of Eligible Instruments that have not been sold, including price movements on shares transferred into the account.
  • “Participant” means an eligible Al Ramz client who has successfully opted in to the Competition.
  • “Ranking” means the ordering of participants based solely on their Time-Weighted Return for the relevant Competition Period, expressed as a percentage.
  • “Share Transfer In” means the transfer of Eligible Instruments into a participant’s account during a trading day, valued at that day’s official closing price of the relevant Exchange.
  • “Share Transfer Out” means the transfer of Eligible Instruments out of a participant’s account during a trading day, valued at that day’s official closing price of the relevant Exchange.
  • “Time Weighted Return (TWR)” means the performance measurement methodology used to calculate percentage returns, under which a return is calculated for each trading day and the daily returns are geometrically linked across the Competition Period, neutralizing the impact of deposits, withdrawals, purchases, sales, and share transfers.
  • “Award” means a prize allocated to a participant under Clause 9.
  • “Winner” means a participant allocated an Award for a given Competition Period.
  • “Other Al Ramz Competition” means any trading or investment competition organized or sponsored by Al Ramz, whether alone or in association with a third party, whose competition period overlaps with a Competition Period under these Terms.
Organiser

The competition (“Competition”) is organized and sponsored solely by Al Ramz Capital L.L.C (“Al Ramz”), a licensed brokerage regulated by the Securities and Commodities Authority (SCA), United Arab Emirates.

The Competition is not sponsored, endorsed, administered, reviewed or approved by ADX, DFM, or by any issuer of the Eligible Instruments.

Purpose of the Competition

The Competition is a marketing and client engagement initiative designed to encourage investment in the UAE energy sector securities listed on the Abu Dhabi Securities Exchange (“ADX”) and the Dubai Financial Market (“DFM”) and specified in Clause 6.

The Competition does not constitute investment advice, portfolio management, or a guarantee of returns. The competition does not require any minimum investment amount to participate or any capital injection. Existing account balance is eligible for participation. Results are calculated based on the percentage return, therefore, capital increase/decrease will not impact returns.

Eligibility

Participation is open only to individuals who:

  • Active trading account with Al Ramz;
  • Are eligible to trade ADX and DFM listed equities;
  • Successfully opt in to the Competition; and
  • Comply with all applicable laws, regulations, and Al Ramz account terms.

The following are not eligible:

  • Employees of Al Ramz and their immediate family members.
  • Any individual restricted from trading by law or regulation.
  • Accounts under investigation, suspension, or compliance review.
Opt-In and Participation
  • Participation is voluntary and opt-in only.
  • Clients must opt in via Al Ramz’s approved digital channels.
  • Only trades executed after opt-in and within the relevant Competition Period will be considered.
  • Once you opt in, you will be included in all subsequent competitions, unless you opt out by contacting Al Ramz Customer Service.
Competition Period
  • The Competition runs for a defined period based on specific start and end dates.
  • The Competition shall be conducted over the following rounds:
    • Round 1: 21 September - 20 October
    • Round 2: 27 October - 24 November
    • Round 3: 30 November - 25 December
  • The applicable start date and end date for each Competition Period will be announced and published across the official digital channels.
  • Each Competition Period constitutes a separate and independent cycle.
  • Rankings and performance results do not roll over beyond the specified Competition end date.
Eligible Instruments

Only the energy sector equity securities listed below, traded through Al Ramz, are eligible:

  • ADNOC Gas: ADNOCGAS, ADX, Natural gas / gas processing
  • ADNOC Drilling: ADNOCDRILL, ADX, Oil & gas drilling
  • ADNOC L&S: ADNOCLS, ADX, Oil & gas logistics
  • ADNOC Distribution: ADNOCDIST, ADX, Downstream / fuel
  • Dana Gas: DANA, ADX, Natural gas E&P
  • NMDC Energy: NMDCENR, ADX, Oil & gas EPC / services
  • Borouge: BOROUGE, ADX, Petrochemicals
  • Fertiglobe: FERTIGLOBE, ADX, Ammonia / urea / energy-linked chemical

Derivatives, leveraged and margin products, and any security not listed above are excluded.

Al Ramz may amend the list of Eligible Instruments to reflect corporate actions, delistings, or trading suspensions, with notice through official Al Ramz channels.

Performance Measurement Methodology

Performance is measured exclusively using Time-Weighted Return (TWR). A return is calculated for each trading day in the Competition Period, and the daily returns are geometrically linked to produce the return for the Competition Period.

Daily Time-Weighted Return

Daily TWR = (EMV + Sales + Dividends − Purchases − Adjusted BMV) / Investment Base

Adjusted BMV = BMV − Share Transfers Out + Share Transfers In

Competition Period Time-Weighted Return

Period TWR = [(1 + r1) × (1 + r2) × … × (1 + rn)] − 1

Where r1 to rn are the daily Time-Weighted Returns for each trading day in the Competition Period.

Calculation Rules

  • Holdings are valued using the official closing prices of the relevant Exchange. Beginning Market Value uses the previous trading day’s close and Ending Market Value uses the current trading day’s close.
  • The Investment Base is the highest value of Eligible Instruments held at any point during the trading day. Because sales and share transfers out only reduce holdings, the highest point can occur only at the start of the trading day or immediately following a purchase or a share transfer in.
  • Executed trades are reflected on trade date. Purchases and sales are included at gross execution value. Failed, cancelled, or reversed trades are excluded.
  • Share transfers in and share transfers out are both valued at the official closing price of the relevant Exchange on the day of transfer.
  • Cash dividends with an ex-dividend date falling within the Competition Period are included in the calculation on that ex-dividend date. Dividends are paid directly to the client’s bank account and are therefore excluded from Ending Market Value, while still being included in total performance.
  • Realized profit or loss represents gains or losses realized from the sale of Eligible Instruments. Unrealized profit or loss represents market value changes on Eligible Instruments still held, including shares transferred in.
  • Corporate actions, including share splits, bonus issues, rights issues, and capital reorganizations, are neutralized by applying the standard adjustment factor to the Beginning Market Value. Entitlements received are not treated as performance.
  • Where the Investment Base for a trading day is zero, that day is excluded from the calculation and treated as a nil return.
  • Non-trading days are excluded from calculations, and where price data is unavailable, the most recent official closing price is used.
  • Al Ramz’s TWR calculation methodology, including any adjustments required for data integrity or system limitations, is final, binding, and not subject to dispute.

Illustrative Example (Single Trading Day – Including Share Transfer Out)

  • Beginning Market Value (BMV): AED 100,000, being the participant’s holdings of Eligible Instruments valued at the previous trading day’s official closing prices.
  • Share Transfer Out: Shares are transferred out of the account during the day and valued at that day’s official closing price: AED 10,000.
  • Share Transfer In: Shares are transferred into the account during the day and valued at that day’s official closing price: AED 15,000.
  • Adjusted Beginning Market Value: AED 100,000 − AED 10,000 + AED 15,000 = AED 105,000.
  • Sales: Shares carried at AED 20,000 are sold during the day for AED 23,000, generating AED 3,000 of realized profit, recognized on the trade date.
  • Purchases: Nil.
  • Dividends: AED 1,000, with an ex-dividend date falling on that trading day, paid directly to the participant’s bank account.
  • Ending Market Value (EMV): AED 87,000, being Eligible Instruments held at that day’s official closing prices on a trade date basis. Remaining holdings, including the shares transferred in, generated AED 2,000 of unrealized gains.
  • Investment Base: The running value of holdings moves from AED 100,000 at the start of the day, to AED 90,000 following the share transfer out, to AED 105,000 following the share transfer in, and to AED 85,000 following the sale. The highest point is AED 105,000.

Daily TWR Calculation

  • Ending Market Value (EMV): 87,000
  • Add: Sales: 23,000
  • Add: Dividends: 1,000
  • Less: Purchases: -
  • Less: Adjusted Beginning Market Value: (105,000)
  • Numerator: 6,000
  • Divided by: Investment Base: 105,000
  • Daily Time-Weighted Return: 5.71%

Daily TWR = (87,000 + 23,000 + 1,000 − 0 − 105,000) / 105,000 = 5.71%

The numerator of AED 6,000 comprises AED 3,000 of realized profit, AED 2,000 of unrealized gains, and AED 1,000 of dividends.

Ranking and Winners
  • For each Competition Period:
    • Participants are ranked based on percentage TWR, from highest to lowest.
    • The top ten (10) highest ranked eligible participants are declared winners.
  • Each participant may enter through one trading account only. Accounts held by related parties may be aggregated or excluded at Al Ramz’s discretion.
  • In the event of a tie, Al Ramz reserves the right to apply tie-break criteria or split prizes at its discretion.
  • A participant allocated an Award in any Competition Period is not eligible for an Award in any subsequent Competition Period. Such a participant may continue to opt in and trade but will not be included in the Ranking for subsequent Competition Periods.
  • A participant may receive one Award only across the Competition and any Other Al Ramz Competition. Where a participant is ranked for an award under both:
    • The award under the competition whose results are first finalized will be allocated.
    • The participant will be excluded from the Ranking of the other competition.
  • Where a participant is excluded under Clause 8.4 or 8.5, the Award passes to the next highest ranked eligible participant, so that ten (10) Awards are allocated in each Competition Period.
Prizes
  • For each Competition Period, rewards are awarded to the top ten (10) highest ranked eligible participants:
    • 1st place: 1,000,000 Etihad Guest Miles
    • 2nd place: 500,000 Etihad Guest Miles
    • 3rd place: 250,000 Etihad Guest Miles
    • 4th–10th place: 100,000 Etihad Guest Miles each
  • No cash alternative, substitution, or exchange is permitted.
  • Prize values may vary by ranking and may change with prior notice.
Verification and Audit
  • All winning results are subject to internal verification and, where required, independent review.
  • Al Ramz reserves the right to delay or withhold prize allocation pending verification.
Disqualification and Fair Use

Participants may be disqualified if Al Ramz determines, at its sole discretion, that they have:

  • Engaged in wash trading, layering, spoofing, or abusive trading practices.
  • Attempted to manipulate rankings or system calculations.
  • Breached these Terms & Conditions or applicable regulations.

Disqualification may occur before or after results are announced, with prizes forfeited if already allocated.

Marketing, Privacy, and Publicity
  • Winners agree to participate in public results announcements related to the Competition; refusal to do so may result in disqualification and forfeiture of rewards.
  • Only percentage returns may be referenced in marketing or public communications.
  • Portfolio size, specific holdings, and transaction values will never be disclosed.
Risk Disclosure
  • Trading in securities involves risk and may result in losses.
  • Past performance is not indicative of future results.
  • Participation in the Competition does not improve or alter trading outcomes.
Limitation of Liability

Except to the extent arising from fraud, gross negligence, willful misconduct, or breach of applicable laws or regulatory obligations, Al Ramz shall not be liable for:

  • Technical failures, data feed delays, or system outages.
  • Losses incurred through trading activity.
  • Delays or errors beyond its reasonable control.
Amendments and Termination
  • Etihad Guest bears no liability for the terms and conditions set related to the campaign.
  • Al Ramz shall not be liable for any losses, damages, costs, or expenses incurred by participants in connection with the Competition, including but not limited to:
    • Trading losses, missed opportunities, or adverse market movements resulting from participation.
    • Technical failures, data feed delays, calculation errors, system outages, or interruptions to trading, connectivity, or platform availability.
    • Delays, inaccuracies, or omissions in performance calculations, rankings, prize allocation, or public announcements.
    • Actions or omissions of third parties, including exchanges, custodians, payment providers, data vendors, or reward partners.
    • Regulatory actions, changes in law, or compliance requirements affecting the Competition.
    • Events beyond Al Ramz’s reasonable control, including force majeure events.
  • Any amendments will be communicated through official Al Ramz channels.
  • Participation in the Competition is at the participant’s sole risk, and Al Ramz makes no representations or warranties, express or implied, regarding trading outcomes, performance rankings, or the availability or value of rewards.
  • To the maximum extent permitted by applicable law, Al Ramz’s aggregate liability, if any, shall be limited to the value of the reward to which the participant would otherwise have been entitled.
  • Continued participation after clear notification through official channels constitutes acceptance of amended terms.
Governing Law and Jurisdiction

These Terms & Conditions are governed by the laws of the United Arab Emirates, the courts of Abu Dhabi.
